These Terms of Service (the “Terms”) govern your access to and use of the SoftWave Free Library (the “Library”), provided by Next Level Web Design, LLC (“Company,” “we,” “our,” or “us”). By accessing or using the Library, you (“User,” “you,” or “your”) agree to be bound by these Terms. If you do not agree, you may not access or use the Library.

1. Access to the Library

The Library provides free access to certain images, videos, and other marketing media assets (collectively, the “Assets”) intended to support SoftWave providers in promoting their practice. Access to the Library is provided as-is and may be modified, suspended, or discontinued at any time at our discretion.

2. Permitted Use

You are granted a limited, non-exclusive, non-transferable, revocable license to use the Assets solely for the purpose of promoting and educating about your own practice. This includes:

Displaying the Assets on your practice’s website.

Publishing the Assets on your practice’s in-house social media accounts.

Using the Assets in advertisements run and managed directly by your practice.

3. Restrictions

You may not:

Provide, license, sell, or otherwise transfer the Assets to any third-party marketing agency, advertising company, freelancer, or outside individual for use on your behalf.

Share, distribute, or make the Assets available to any other provider, practice, or third party.

Modify the Assets in a way that misrepresents their origin, association, or intended use.

Use the Assets for unlawful, misleading, defamatory, or harmful purposes.

4. Ownership & Intellectual Property

All rights, title, and interest in and to the Library and the Assets remain the exclusive property of Next Level Web Design, LLC. Nothing in these Terms transfers any ownership rights to you. You are only granted the limited license described herein.

5. Termination of Rights

We reserve the right to immediately revoke your access to the Library and your license to use the Assets if you violate these Terms. We may also pursue legal or equitable remedies as deemed necessary.

6. No Warranties

The Library and Assets are provided “as-is” without any warranties of any kind, express or implied. We do not guarantee that the Assets will produce specific results, outcomes, or performance for your practice.

7. Limitation of Liability

To the fullest extent permitted by law, Next Level Web Design, LLC shall not be liable for any damages, losses, or claims arising out of your use of or inability to use the Library or Assets.

8. Indemnification

You agree to indemnify, defend, and hold harmless Next Level Web Design, LLC from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney fees) arising out of your violation of these Terms or misuse of the Assets.

9. Changes to the Terms

We may update or revise these Terms at any time by posting the updated version on our website or within the Library. Continued use of the Library after changes become effective constitutes your acceptance of the revised Terms.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

By accessing or using the SoftWave Free Library, you acknowledge that you have read, understood, and agree to be bound by these Terms.
